Welcome to Lead-Qual Agent ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Lead-Qual Agent platform, website, and related services (collectively, the "Service"). By subscribing to or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Lead-Qual Agent provides AI-powered lead qualification and booking services for trades businesses (e.g., plumbing, HVAC, electrical, roofing, construction). The Service is designed to help you respond to SMS and email leads, qualify them, and schedule appointments — but it is not a replacement for your professional judgment.

The AI responses are generated automatically based on your configuration and the information provided by leads. You are responsible for reviewing all communications and outcomes generated by the Service.
The Service is offered on a subscription basis with the following plans:
Annual billing plans are available at discounted rates. All prices are in US Dollars (USD). We reserve the right to change pricing for new subscribers upon 30 days' notice. Founder's locked rates are guaranteed for the lifetime of your account as long as your subscription remains active and in good standing.
Paid Checkout: Public checkout starts a paid monthly subscription immediately through Stripe. If you want to evaluate the Service before paying, contact support@richgibbs.dev and we may provision a limited sandbox demo account.
All subscription fees are billed in advance on a monthly or annual basis, as selected during checkout. Payments are processed securely through Stripe. By providing a payment method, you authorize us (or Stripe on our behalf) to charge the applicable fees on each billing date.
The Service is a software tool for lead qualification and scheduling. It does not provide, and is not intended to provide, emergency dispatch, emergency response, or any life-safety services. If you or your customers are experiencing an emergency, call 911 immediately.
We make no guarantee that the Service will be available at all times, that AI responses will be appropriate for emergency situations, or that the Service can replace direct human communication during urgent scenarios.

To the maximum extent permitted by applicable law, in no event shall Lead-Qual Agent, its affiliates, officers, employees, or licensors be liable for:
Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim. This limitation of liability applies regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data and the data of your leads. By using the Service, you consent to the data practices described in the Privacy Policy.
By You: You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.
By Us: We may suspend or terminate your access to the Service immediately if:
Effect of Termination: Upon termination, your access to the Service will cease. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, your data will be permanently deleted in accordance with our data retention practices.
These Terms shall be governed by and construed in accordance with the laws of the United States of America and the State of Texas, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Travis County, Texas.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or through the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.
